1. Acceptance of Terms.
1.1 Welcome to the Confluent Marketplace (“Confluent Marketplace”), an online listing of content, software, connectors, integrations, transformations, technical templates, developer tools, and related materials (collectively, “Components”). By accessing, registering for, or using the Confluent Marketplace, you agree that your visit and use are governed by these Confluent Marketplace Terms of Use (“Agreement” or “Terms of Use”), and you agree to the collection and use of your personal information as set forth in the Confluent Privacy Notice at /legal/confluent-privacy-notice/. You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and capable of forming a binding contract. If you are entering into this Agreement on behalf of a company or other organization, you represent that you have the authority to bind that company or organization to this Agreement, and the terms “you” and “your” will refer to that company or organization. If you do not have that authority, or if you do not agree with these terms and conditions, you may not use and you must leave the Confluent Marketplace. Confluent means Confluent, Inc. and its affiliates.

4. Confluent Marketplace Components.
4.1 Components. Confluent may list Components developed, owned, or distributed by Confluent and by third-party providers (each a “Provider”) in the Confluent Marketplace. Components may be updated, modified, or removed at any time. You can browse, download, and/or contribute Components for the Confluent ecosystem.
4.2 Provider Terms. Your use of each Component is governed by the applicable license, subscription terms, privacy policy, support terms, or other terms applicable to your use of a Component as specified by its Provider (“Provider Terms”) identified in the listing or package. You may not use a Component unless you agree to the Provider Terms. For Components provided by Confluent, the applicable Confluent terms that govern the relevant Confluent product will apply in addition to these Terms. Unless otherwise expressly stated in the Provider Terms, the Provider or its licensors own all title, copyright, and other intellectual property rights in the Component, and the Component is licensed to you directly by the Provider, not sold. In the event of a conflict, Provider Terms control as to rights and obligations related to the Component itself, whereas these Terms control as to the Marketplace generally.
4.3 Provider Use of Data. Providers’ access to or use of your data in or through their Components is subject to the applicable Provider Terms. Confluent is not responsible for Providers’ data handling, security, or privacy practices.
4.4 Confluent’s Role. Confluent is not responsible for any transmission, collection, disclosure, modification, use, or deletion of your data by or through third-party Components or their Providers.
4.5 Provisioning. Confluent may facilitate provisioning of paid Components, or a listing may redirect you to a Provider website for enablement and payment. Confluent is not responsible for third-party billing or fulfillment.
4.6 Trials. Trial Components or features may cease to function at the end of the trial period unless you convert to a paid offering.
5. Reviews.
5.1 Reviews. The Confluent Marketplace may allow you to review Components you have used. You may post only one review per Component, unless the later review reflects a good-faith rating change based on further evaluation. If you post a review of your own Component or the Component of a competitor, you must disclose your affiliation.
5.2 Rules. Reviews and comments must be accurate, made in good faith after reasonable evaluation of the Component, and must not include confidential information, personal data of others, or unlawful, infringing, misleading, or unrelated content.
5.3 Moderation. Confluent may remove, edit, decline to post, or disable reviews or comments in its discretion. Confluent does not assume any responsibility for user reviews.
6. Content.
6.1 Content Submission. The Confluent Marketplace may enable you to post, upload, or submit text, information, data, reviews, ratings, comments, or other material to or through the Marketplace (collectively, “Content”). You are solely responsible for any Content that you post, upload, or submit to the Confluent Marketplace and for securing all rights necessary to submit such Content. If you post, upload, or submit Content, you represent that you either own all such Content, or you have the right to provide such Content.
6.2 Content License Grant. You hereby grant to Confluent a nonexclusive, worldwide, irrevocable, perpetual, transferable, sublicensable, fully paid-up, royalty-free license to use, host, store, distribute, reproduce, modify, excerpt, attribute, adapt, publish, translate, create derivative works from, publicly perform, and publicly display your Content that you provide and to incorporate it into other works in any format or medium now known or later developed, and to permit others to do so.
6.3 Monitoring and Removal. Confluent may, but shall not be required to, monitor Content. Confluent reserves the right, in its sole discretion and for any reason at any time, to remove or disable any Content.
7. Component Contributions.
7.1 Submission. The Confluent Marketplace may enable you to submit Components for inclusion in the Confluent Marketplace. Confluent may assess the Component to determine if it meets the requirements of Confluent’s Verified Integration Standards. If Confluent, in its sole discretion, determines the Component meets the Verified Integration Standards, then Confluent may, in its sole discretion, designate the Component as “Verified” on the Confluent Marketplace. Confluent may revise such standards and designations at any time. Confluent does not guarantee that any Component, whether verified or not, will interoperate with any Confluent product or third-party product or service.
7.2 Component License Grant. If you submit a Component for listing on the Confluent Marketplace, you hereby grant Confluent the nonexclusive, royalty-free, worldwide, transferable right and license (i) to host, list, distribute or make available for download your Components through the Confluent Marketplace to end users; (ii) to use, reproduce, distribute, reformat and publicly display any related Content that you provide regarding the Components (e.g., descriptions, logos, screenshots); and (iii) to use your Components internally for testing and evaluation purposes.
7.3 Contributor Obligations. You acknowledge that Confluent has no obligation to distribute or list your Component, or to continue to do so. You, not Confluent, license your Components to end users under applicable Provider Terms, including support and privacy practices, which you must provide or specify. Your Provider Terms must comply with the terms and conditions of this Agreement and applicable law. You agree that Confluent does not and will not have any responsibility or liability related to compliance or non-compliance by you or any end user under the Provider Terms.
8. Support.
8.1 Support. Providers are responsible for support and maintenance of their Components as stated in the Provider Terms. Confluent does not provide support services of any kind for Components downloaded from the Confluent Marketplace, except and solely to the extent that Confluent is providing support services for such Components to you as part of a separate, purchased subscription.

9.2 Trademarks. “Confluent” and other marks or logos of Confluent or third parties used on the Confluent Marketplace are trademarks or service marks of Confluent or such third parties and may not be used in any manner without express prior written consent of the respective owner. Confluent’s use of any third party marks or logos does not indicate any affiliation or other relationship with such third parties.
9.3 Takedowns. Confluent may remove or disable access to Content or Components upon receiving a proper notice alleging infringement or other violation, or in its discretion.
10. Acceptable Use.
10.1 Acceptable Use Policy. You will ensure that all of your Components and any Content comply with Confluent’s Acceptable Use Policy (as updated from time to time) and this Agreement, including the guidelines and policies setting forth requirements for including your Components in the Confluent Marketplace.
10.2 Prohibited Activities. You shall not:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONFLUENT MARKETPLACE AND ALL CONTENT AND COMPONENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU AGREE THAT YOU BEAR ALL RISKS ASSOCIATED WITH USING OR RELYING ON ANY CONTENT, VERIFICATION, OR COMPONENTS ON THE CONFLUENT MARKETPLACE. CONFLUENT DOES NOT IN ANY WAY WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, USEFULNESS, NON-INFRINGEMENT, OR QUALITY OF THE CONTENT OR COMPONENTS. CONFLUENT HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, RELATING TO SUCH CONTENT, VERIFICATION, OR COMPONENTS.
13. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, (A) CONFLUENT IS NOT BE LIABLE OR RESPONSIBLE IN ANY WAY FOR ANY LOSSES OR DAMAGE OF ANY KIND, INCLUDING LOST PROFITS OR OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES RELATING TO OR ARISING OUT OF THIS AGREEMENT, INCLUDING YOUR USE OF OR RELIANCE UPON THE CONFLUENT MARKETPLACE OR ANY CONTENT, VERIFICATION, OR COMPONENTS ON THE CONFLUENT MARKETPLACE.

You agree to defend, indemnify, and hold harmless Confluent, its affiliates, and their respective officers, directors, agents, employees, and contractors from and against any claims by third parties, and any related damages, liabilities, losses, costs, and expenses (including reasonable attorney fees), arising from: (a) your Content; (b) your Components; (c) your use of the Confluent Marketplace or any Component; (d) your violation of this Agreement or applicable law; or (e) your violation of any rights of any third party. You may not settle any claim without Confluent’s prior written consent.
15. Privacy.
15.1 Privacy Notice. Confluent’s collection, use, and disclosure of personal information via the Marketplace are described in the Confluent Privacy Notice at /confluent-privacy-statement/.

16. Term and Termination.
16.1 Term. These Terms apply to your Marketplace access and use from the Effective Date and continue until terminated.
16.2 Suspension/Termination. Confluent may suspend or terminate your account or access immediately for violation of these Terms, suspected fraud or misuse, legal or security concerns, or discontinuation of the Marketplace.
16.3 Effect. Upon termination, your right to access the Marketplace shall cease. Your rights to use previously obtained Components will be governed by the applicable Provider Terms. Sections intended to survive (including 6, 8, 9, 10, 12 – 15, 17 - 19) shall survive termination of this Agreement.
17. Export; Anti-Corruption. You shall comply with U.S. and other applicable export control and sanctions laws. You represent that you are not located in, or a resident of, any embargoed country and are not on any U.S. government restricted party list. 18. General Provisions.
18.1 Governing Law and Jurisdiction. This Agreement shall be governed by, and construed and interpreted in accordance with, the laws of the State of California, without regard to its conflicts of law provisions. Confluent and you hereby submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California for all disputes arising out of or relating to Agreement, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction for infringement or misappropriation.
18.2 Entire Agreement. This Agreement comprises the entire agreement between you and Confluent and supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, between you and Confluent regarding the subject matter contained herein. There are no third-party beneficiaries to this Agreement.
18.3 Assignment. You may not assign your rights or obligations under this Agreement, whether by operation of law or otherwise, without Confluent’s prior written consent. This Agreement will be binding upon and inure to the benefit of the parties hereto, their successors, and permitted assigns.
18.4 Waiver; Severability. If any provision of this Agreement is held by a court to be invalid or unenforceable, then that provision shall be construed, as nearly as possible, to reflect its intentions, with all other provisions remaining in full force and effect. Confluent’s failure to enforce any right or provision in this Agreement will not constitute a waiver of such right or provision unless agreed to by Confluent in writing.
18.5 Order of Precedence. If there is a conflict between this Agreement and Provider Terms, Provider Terms shall control for the Component, whereas this Agreement shall control for the Marketplace.
18.6 Notices. Confluent may provide notices via your account, email, or by posting them to the Marketplace. You will send legal notices to: Confluent, Inc., Attn: Legal Department, 899 W. Evelyn Ave., Mountain View, CA 94041, USA, with a copy to legal@confluent.io.
